OBLIGATION OF FULFILLMENT AGREEMENT

For Participating Businesses in the Support My Community Fundraising System

1. Parties

This Obligation of Fulfillment Agreement (“Agreement”) is entered into by and between Support My Community Fundraising (“the System”), owned and operated by its duly authorized owners, and the undersigned Participating Business, which may include but is not limited to retailers, restaurants, home improvement contractors, auto repair providers, HVAC service companies, or other consumer service providers (“the Participant”).

2. Purpose

The purpose of this Agreement is to ensure that all goods, services, and/or gift cards offered for sale through the Support My Community Fundraising e-commerce platform are honored and fulfilled in full to any consumer who purchases them through the System. At this time consumers are required / instructed to come to your place of business to pick up their Gift Certificate(s) any time after 48 hours of purchase. They must present a copy of their order which you will also have in your admin system and designated email address.

3. Legal Obligation to Fulfill

By posting, listing, or authorizing the sale of any gift card, product, or service offer through the System, the Participant acknowledges and agrees that such posting constitutes a binding contractual obligation to honor and fulfill all corresponding purchases made by consumers.This obligation applies to:- All purchases made during the Participant’s active enrollment in the System; and- Any outstanding or unredeemed gift cards, offers, or services purchased while the Participant was previously active, regardless of current participation status.

4. Continuing Responsibility

Even if the Participant later ceases participation in the Support My Community Fundraising System, the Participant remains legally bound to honor all previously sold gift cards, offers, or prepaid services purchased through the System. Failure to do so constitutes a breach of contract under this Agreement.

5. Remedies and Enforcement

If a Participant fails or refuses to honor a validly purchased gift card, product, or service, the System and/or its owners shall have the right to:- Seek monetary relief equal to the total face value of the unfulfilled gift cards or services,- Obtain refunds for affected consumers, and- Pursue recovery of all legal fees, court costs, and material damages incurred in enforcing this Agreement or remedying non-compliance.

6. Representation and Warranties

The Participant represents and warrants that:- All goods, services, and gift cards offered through the System are valid, lawful, and accurately described.- The Participant has full authority to enter into this Agreement and to provide such goods or services.- The Participant understands that this obligation is ongoing and enforceable under Maryland contract law.

7. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of the State of Maryland.

8. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed so as to effectuate the original intent of the parties.

9. Termination

Yuu may terminate this agreement by cancelling the service at anytime in your admin control panel. NOTE: all provisions in section 4 of this document will remain in place upon termination.

The administrators of Support My Community Fundraising can cancel your participation at any time for any reason if the deem necessary. NOTE: all provisions in section 4 of this document will remain in place upon termination.

10. Entire Agreement

This document constitutes the entire agreement between Support My Community Fundraising and the Participant regarding fulfillment obligations and supersedes any prior communications or understandings on this subject.

11. Acknowledgment and Acceptance

By participating in the Support My Community Fundraising system, posting any offer, or authorizing the sale of a gift card, product, or service through the System, the Participant acknowledges that they have read, understood, and agreed to the terms of this legally binding Obligation of Fulfillment Agreement.
